1. Description of Services

Capturia provides a sales automation platform designed for small and medium businesses (SMBs). The platform includes the following features:

• AI conversational agents for automated lead qualification and follow-up
• Online booking system with public booking pages and bidirectional Google Calendar synchronization
• Automated video meetings via Zoom and Microsoft Teams (room creation, automatic links in invitations)
• Client portal for project management, deliverable tracking, and collaboration
• Sales automation workflows: SMS sequences (Twilio), emails (Resend), and follow-up tasks
• AI-powered sales coaching based on conversation and call analysis (transcription, summaries, recommendations)
• Payment processing via Stripe Connect
• Pre-suasion tools and qualification questionnaires
• Dashboard, pipeline tracking, and real-time reporting
• Integrated training academy

2. Eligibility

To use our services, you must be a legally constituted business in Canada or an independent professional. You represent that you have the authority to bind your organization to these terms. Capturia's services are not intended for individual consumers or persons under 18 years of age.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to notify us immediately of any unauthorized use of your account. Capturia reserves the right to suspend an account in the event of suspected fraudulent or non-compliant use.

4. Third-Party Integrations and Services

Capturia integrates with third-party services (Google Calendar, Zoom, Stripe, Meta, and others) to provide its features. By connecting a third-party service through the platform, you acknowledge and agree that:

• You authorize Capturia to access data necessary for the integration to function, within the limits of the permissions (scopes) you accepted during connection
• You remain subject to the terms of use and privacy policy of the relevant third-party service, in addition to these terms
• You may revoke Capturia's access to any third-party service at any time from the platform settings; access tokens are then immediately deleted from our systems
• Capturia is not responsible for service interruptions, API changes, terms modifications, or security incidents attributable to third-party services
• Data exchanged with third-party services is processed in accordance with our Privacy Policy

5. Artificial Intelligence

Capturia uses artificial intelligence technologies (including OpenAI and AssemblyAI) for lead qualification, sales coaching, conversation analysis, and call transcription. By using these features, you acknowledge that:

• AI-generated results are decision-support tools and do not constitute professional, legal, or business advice
• Capturia does not guarantee the accuracy, completeness, or relevance of AI-generated analyses, summaries, or recommendations
• You are responsible for business decisions made based on AI analyses
• Your conversation and call content is transmitted to our AI providers for processing, in accordance with our Privacy Policy

6. Payment and Billing

Setup fees are payable upon contract signing. Monthly subscriptions are billed in advance. Payments are processed securely by Stripe. All payments are in Canadian dollars unless otherwise specified. Payments are non-refundable except under our satisfied-or-your-money-back guarantee (see section 7).

7. Guarantee

Our guarantee is detailed on our Guarantees page: Guaranteed, satisfied or your money back. The guarantee applies according to the conditions, exclusions, and terms specified in that documentation.

8. Intellectual Property

Capturia retains all intellectual property rights in its platform, AI agents, workflows, methods, and documentation. You retain full ownership of your client data, content, and communications. You grant us a limited, non-exclusive, revocable license to process your data in the course of providing our services. This license terminates upon account termination.

9. Service Availability

Capturia strives to maintain platform availability at all times but does not guarantee a specific uptime rate. Planned interruptions (maintenance, updates) or unplanned interruptions (technical incidents, force majeure) may occur. We will make reasonable efforts to minimize the duration and impact of any interruption. Capturia shall not be held liable for damages resulting from temporary service unavailability.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Capturia's total liability to you, regardless of cause, shall not exceed the total fees you have paid us during the twelve (12) months preceding the event giving rise to the claim. In no event shall Capturia be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, revenue, data, or business opportunities.

11. Termination

You may cancel your subscription at any time by providing written notice with thirty (30) days' advance notice. Upon termination, your data remains accessible for 30 days to allow you to export it. After this period, it is deleted in accordance with our Privacy Policy. Capturia reserves the right to suspend or terminate your access immediately and without notice in the event of breach of these terms, fraudulent use, or non-payment.

12. Modifications to Terms

We may modify these terms at any time. Material modifications will be notified to you by email at least thirty (30) days before they take effect. Your continued use of the platform after the effective date of the modifications constitutes your acceptance. If you do not accept the new terms, you may terminate your account in accordance with section 11.

13. Governing Law and Dispute Resolution

These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these terms shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Quebec, Province of Quebec, Canada.
